Terms and Conditions

Effective date: 12 October 2026
Version: 1.2

1. About us and these Terms

1.1 AdAudit Pro is a trading name of George Own Ltd, a company registered in England and Wales under company number 14317951, whose registered office is at 2 The Martens, Fleet, GU51 5FG, United Kingdom ("we", "us", "our").

1.2 You can contact us at [email protected].

1.3 These terms and conditions, including Schedule 1 (Data Processing Terms) (together, the "Terms"), apply to every purchase of our services and to your use of our website and online dashboard (together, the "Platform"). By creating an account, ticking the acceptance box at checkout or placing an order, you agree to these Terms. Please read them carefully, and in particular clauses 2 (business customers only), 8 (fees, cancellation and refunds), 10 (your responsibility for implementation and indemnity) and 13 (limitation of liability).

1.4 Our Privacy Policy explains how we use personal data and forms part of these Terms.

1.5 Versions. Each version of these Terms shows its effective date and version number at the top. The version in force when you place an order applies to that order (see clause 17.1). We keep a record of previous versions and will provide a copy on request.

2. Business customers only

2.1 The Services are supplied only to businesses. By placing an order you confirm that you are acting for purposes relating to your trade, business, craft or profession, and not as a consumer. Sole traders, partnerships, companies, charities and other organisations buying for their business are business customers for this purpose.

2.2 Checkout confirmation. Before payment, you will be asked to tick a box confirming: "I am purchasing strictly for business/commercial purposes and not as an individual consumer." We will not accept an order unless that box is ticked.

2.3 If you are placing an order on behalf of a company or other organisation, you confirm that you have authority to bind it to these Terms, and "you" means that organisation.

2.4 We are entitled to rely on your confirmation under clauses 2.1 and 2.2. If, despite that confirmation, you are a consumer, clause 16 applies to you.

3. Definitions

In these Terms:

  • "Audit" means one independent review of your Google Ads account and associated landing page, delivered as a Report.
  • "All-in-One Audit" means a one-off purchase of a single Audit Credit, together with the bonuses described on our website at the date of your order (at the effective date of these Terms: an SEO Audit, a GEO Audit, one re-audit of the same Google Ads account and landing page, and a £100 credit towards our Expert Services).
  • "Audit Credit" means the right to one Audit, purchased with an All-in-One Audit.
  • "Connected Accounts" means the Google Ads account and (optionally) Google Analytics property that you authorise us to read.
  • "Data Protection Law" means the UK General Data Protection Regulation ("UK GDPR"), the Data Protection Act 2018 and the Privacy and Electronic Communications Regulations 2003, as amended or replaced from time to time.
  • "Report" means the online report made available to you in your dashboard following an Audit.
  • "Services" means the Audits, Website Audits, Reports and related Platform features described on our website from time to time.
  • "Subscription" means a recurring monthly plan entitling you to one Audit in each 30-day period.
  • "Website Audit" means an SEO Audit or a GEO Audit bought on its own as described in clause 4.7.
  • "SEO Audit" means an automated search engine optimisation check of one web page that you nominate, delivered as a Report.
  • "GEO Audit" means an automated check of how ready one website that you nominate is to be found and recommended by AI assistants, with ranked recommendations, delivered as a Report.

4. The Services

4.1 What an Audit involves. With your permission, we read data from your Connected Accounts — normally covering the most recent 30 days — and review the landing page that your active ads spend the most on, as it appears publicly at the time of the Audit. We use our own methodology and AI-assisted analysis tools to prepare a draft Report, which is then reviewed by one of our specialists before it is released to you.

4.2 Scope. An Audit covers only campaigns that are enabled and have recorded spend during the review period, and only the landing page selected under clause 4.1. It is not a review of your entire marketing activity, website or business. The checks included in an Audit are those described on our website at the date of your order; we may refine them over time provided the overall nature of the Service is not materially reduced.

4.3 Read-only access. We access your Connected Accounts in read-only mode. We do not make, and the Services do not include, any changes to your Google Ads account, Google Analytics property, website or tracking.

4.4 Delivery. The Report is delivered by making it available in your dashboard and notifying you by email. Any delivery times stated on our website are estimates only. Time is not of the essence.

4.5 Form of the Report. The Report is provided online in your dashboard. We do not undertake to provide it in any other format.

4.6 Nature of the Report and use of AI tools. (a) A Report is an automated, heuristic-based analytical summary of the data available to us. Parts of the analysis and wording are generated with the assistance of AI tools, and may occasionally contain inaccuracies. (b) Every Audit Report is checked by a human specialist before release (Website Audit Reports are not — see clause 4.7). That check is a quality review of the automated output; it is not a bespoke engineering, technical, legal, financial or accounting verification of your account, website, tracking or business. (c) Reports comment on your own account and landing page. They are not intended to assess, and should not be relied on as a statement about, any third party (including any agency, consultant or software provider you use). (d) We do not use customer data obtained via Google APIs to train public or foundational third-party AI models, or any generalised AI or machine-learning model of our own.

4.7 Website Audits. (a) You may buy an SEO Audit or a GEO Audit on its own. A Website Audit does not require a Google Ads or Google Analytics connection; we review only the publicly available pages of the website you nominate (and, for a GEO Audit, the business name and services you give us). (b) Each Website Audit purchase entitles you to one Report for one website. Once you have started a Website Audit, the website and details you entered cannot be changed for that purchase. (c) Website Audit Reports are generated automatically and delivered instantly to your dashboard. They are not reviewed by a specialist before release, and clause 4.6(a) applies to them in full. (d) Website Audits are not included in a Subscription. An SEO Audit and a GEO Audit are included as bonuses with each All-in-One Audit, as described on our website at the date of your order.

5. Your account

5.1 You must provide accurate and complete information when registering and keep it up to date.

5.2 You are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately at [email protected] if you suspect unauthorised use.

5.3 Your account is for use by you and your authorised personnel only, and may not be shared with or resold to third parties.

6. Connecting your Google accounts

6.1 To receive an Audit you must connect a Google Ads account, and you may choose to connect a Google Analytics property. You do this through Google's own authorisation process.

6.2 You confirm that you are the owner of, or are authorised by the owner to grant us read access to, each Connected Account, and that granting that access does not breach any agreement with a third party (including any agency or client).

6.3 You may withdraw our access at any time through your Google account permissions. If you do so before an Audit is completed, we may be unable to complete it, and clause 8.6 will not apply.

6.4 Our use of data obtained from Google is described in our Privacy Policy and complies with the Google API Services User Data Policy, including its Limited Use requirements. In particular, such data is used only to provide the Services you request, is never sold or used for advertising, and is never used to train public or foundational third-party AI models or any generalised AI model.

6.5 Google access tokens are stored encrypted, are used only to read the data needed for your Audits, and are revoked and deleted when you disconnect the relevant account or close your account.

7. Ordering and contract formation

7.1 Our website and prices are an invitation to order, not an offer. A contract is formed when we confirm your payment (by email or on screen) following your order.

7.2 We may decline an order at our discretion, in which case we will refund any payment taken.

8. Fees, payment, cancellation and refunds

8.1 Prices. Our prices are as shown on our website at the time of order. At the effective date of these Terms they are: £55 per All-in-One Audit, £29 per month for a Subscription, £29 per SEO Audit and £39 per GEO Audit. We are not currently registered for VAT, so no VAT is charged. If we become VAT-registered, we will tell you before any VAT is added to future payments.

8.2 Payment. Payment is taken in advance by card through our payment provider, Stripe. We do not see or store your full card details.

8.3 Audit Credits. Each All-in-One Audit adds one Audit Credit to your account. An Audit Credit is used when you start an Audit. Each Audit Credit remains valid for 12 months from the date of purchase; if it has not been used by then it expires. Audit Credits are not transferable and have no cash value, except as set out in clauses 7.2, 8.6, 14.2(b) and 15.

8.3A Website Audit purchases. Each Website Audit purchase must be used (by starting the Website Audit) within 12 months from the date of purchase; if it has not been used by then it expires. Clauses 8.3, 8.5, 8.6, 14.2(b), 15 and 16.1(e) apply to an unused Website Audit purchase in the same way as they apply to an Audit Credit.

8.4 Subscriptions. (a) A Subscription renews automatically each month, and you authorise us (through Stripe) to take the monthly fee on each renewal date until you cancel. (b) A Subscription entitles you to one Audit in each 30-day period. An unused Audit does not roll over to a later period and is not refundable. (c) You may cancel at any time through the Billing page of your dashboard. Cancellation takes effect at the end of the billing period already paid for; you will keep access until then and will not be charged again. (d) We may change the Subscription price by giving you at least 30 days' notice by email. The change will apply from your next renewal after the notice period. If you do not agree, you may cancel before it takes effect.

8.5 Why fees are non-refundable once an Audit has started. As soon as you start an Audit, we incur costs that we cannot recover, including Google and other third-party API usage, paid AI processing (compute) and the time of the specialist who reviews your Report. For that reason, the fee for an Audit is non-refundable once that Audit has been started, and in any event once the Report has been delivered. Fees are not refundable because you disagree with, or decide not to implement, any finding or suggestion in a Report. This clause does not affect clauses 8.6, 14.2(b) and 15, or your rights under clause 16 if you are a consumer.

8.6 Technical failure on our side. If an Audit cannot be completed because of a technical failure on our side, we will, at our option, return the Audit Credit to your account, re-run the Audit, or refund the fee paid for that Audit. This is your sole remedy for such a failure. It does not apply where the failure results from your Connected Accounts, insufficient data, access being withdrawn, or your landing page being unavailable or blocking automated access.

8.7 Late or failed payment. If a payment fails, we may suspend the Services until payment is made.

9. Your obligations

9.1 You must: (a) use the Platform and Reports lawfully and only for your own internal business purposes; (b) not attempt to copy, reverse engineer, scrape, resell or interfere with the Platform or our methodology; (c) not introduce any malicious code or attempt to gain unauthorised access to the Platform; and (d) comply with Google's terms and policies applicable to your Connected Accounts.

10. Your responsibility for implementation

10.1 Opinion, not instruction. The findings, suggestions, suggested copy and action plan in a Report are our independent and subjective opinion, formed from an automated, AI-assisted analysis of the data available to us at the time and a human quality check (see clause 4.6). They are not instructions, and different specialists could reasonably reach different conclusions.

10.2 No guaranteed results. We do not warrant or guarantee that following any suggestion will produce any particular result, including any increase in traffic, clicks, conversions, leads, sales, revenue, profit or return on ad spend, or any reduction in cost. Figures in a Report describe past performance and are not a forecast. Advertising performance depends on many factors outside our control, including competition, seasonality, your products, pricing and website, and changes made by Google.

10.3 Your decision. You alone decide whether, when and how to act on any part of a Report. Before implementing any change you should consider it carefully in the context of your own business, make changes gradually, monitor results, and keep a record or backup of your settings so that changes can be reversed. In particular, you should not pause or remove a campaign, or change conversion tracking, without first checking the effect on your business. Any change to your Google Ads account, website, tracking or other systems is made by you, or by people you appoint, at your own risk.

10.4 Suggested copy. You are responsible for checking any suggested headline, ad or page copy for accuracy and for compliance with advertising rules (including the CAP Code), Google's advertising policies, consumer protection law and the intellectual property rights of others before using it.

10.5 Not other professional advice. Nothing in a Report constitutes legal, financial, tax, accounting or regulatory advice.

10.6 Indemnity. You will indemnify us against all losses, damages, costs (including reasonable legal fees) and expenses that we incur as a result of any claim brought against us by a third party (including any agency, client, competitor or platform provider) arising from: (a) your use or implementation of any suggested copy, setting or recommendation in a Report, including any publication of suggested copy; (b) your breach of clause 6.2 (authority to connect accounts) or clause 9; or (c) your use of a Report in breach of clause 12. We will notify you promptly of any such claim, allow you to conduct its defence where reasonable, and not settle it without your consent (not to be unreasonably withheld). This clause does not apply to the extent the claim arises from our own breach of these Terms or our negligence.

11. Data and third-party services

11.1 Reports rely on data supplied by Google, by your website and by other third parties. We do not warrant that such data is complete, accurate or up to date and are not responsible for errors in it.

11.2 The Services depend on third-party platforms (including Google APIs, our hosting and AI providers and Stripe). We are not responsible for any interruption, change or withdrawal of those services, although we will use reasonable efforts to minimise any effect on you.

11.3 Personal data. We are the controller of your account, billing and contact data, as described in our Privacy Policy. When we retrieve and process data from your Connected Accounts and landing page to produce Reports, any personal data in it (for example, search terms entered by members of the public) is processed by us as your processor, and Schedule 1 (Data Processing Terms) applies.

12. Intellectual property

12.1 You retain all rights in your data and in the content of your Connected Accounts and website.

12.2 We (or our licensors) own all intellectual property rights in the Platform, our methodology, checklists, software and the format and content of Reports (other than your data).

12.3 Subject to payment, we grant you a non-exclusive, non-transferable, perpetual licence to use each Report delivered to you, and to share it with your employees and professional advisers, for your internal business purposes. You may not publish, sell or commercially exploit a Report or present it as your own work to third parties.

12.4 A Report is prepared solely for you. No third party may rely on it, and we accept no responsibility to anyone other than you for its contents.

13. Limitation of liability

13.1 Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded by law.

13.2 Subject to clause 13.1, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any: (a) loss of profits, sales, revenue or business; (b) loss of anticipated savings; (c) advertising spend, or any increase in advertising costs; (d) loss of or damage to goodwill or reputation; (e) loss or corruption of data; (f) loss arising from any change you or anyone acting for you make in reliance on a Report; or (g) indirect or consequential loss.

13.3 Subject to clause 13.1, our total liability to you arising under or in connection with these Terms and the Services, in any twelve-month period, is limited to the total fees you paid us in the twelve months preceding the event giving rise to the claim, or £500, whichever is higher.

13.4 Except as expressly set out in these Terms, all warranties, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law.

13.5 You agree that these limitations are reasonable, having regard to the price of the Services, the automated and subjective nature of the opinions provided, the fact that you control whether and how to implement them, and your ability to obtain your own insurance.

13.6 Separate limitations. Each sub-clause of this clause 13, and each paragraph of clause 13.2, is a separate and severable limitation. If any of them is found by a court to be unreasonable, invalid or unenforceable, that finding will not affect the others, which will continue to apply in full.

14. Suspension and termination

14.1 We may suspend or terminate your account and access to the Services immediately by notice if you materially breach these Terms, fail to pay any fee, or use the Platform unlawfully or in a way that may cause harm to us or others.

14.2 You may close your account at any time using the "Close account" option on the Account page of your dashboard, or by emailing [email protected]. Closing your account: (a) cancels any Subscription with immediate effect, so that no further payments are taken; the remainder of the billing period already paid for is not refunded; (b) ends any unused Audit Credits. If you had unused Audit Credits that had not expired under clause 8.3, you may ask us to refund them by emailing [email protected] within 30 days of closing your account, and we will refund the price paid for each such credit to the original payment method. Otherwise they lapse without refund; (c) revokes our access to your Connected Accounts; and (d) permanently deletes your account, Reports and associated data from our systems, as described in our Privacy Policy and Schedule 1. Deleted Reports cannot be recovered, so you should keep a copy of anything you wish to retain before closing your account.

14.3 If we terminate your account under clause 14.1, clause 14.2(a) to (d) applies as if you had closed it, except that clause 14.2(b) refunds are not available where we terminate for your material breach or non-payment.

14.4 Clauses 10, 12, 13, 17 and 18 and Schedule 1 (to the extent it concerns deletion, confidentiality and audit) survive termination.

15. Events outside our control

We will not be liable for any delay or failure to perform caused by events beyond our reasonable control, including failure or changes of third-party platforms (including Google), internet or hosting outages, cyber-attacks, industrial action or governmental action. If such an event prevents us from delivering an Audit for more than 30 days, either of us may cancel the affected order and we will return the Audit Credit or refund the fee paid for it.

16. If you are a consumer

16.1 Clause 2 notwithstanding, if you are in fact a consumer, the following applies in place of any inconsistent provision: (a) Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. (b) Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 you have the right to cancel within 14 days of the contract being formed. By starting an Audit within that period you expressly request that we begin supplying the Service immediately, and acknowledge that you will lose your right to cancel once the Audit has been fully performed. If you cancel after an Audit has started but before it has been fully performed, you must pay a proportionate amount for the work done up to the point you told us you wished to cancel. If you cancel before starting an Audit, we will refund you in full. (c) For a Subscription, the 14-day cancellation right applies to the initial contract only, not to each monthly renewal. (d) Clause 13.2(a) to (c) does not apply to losses that were reasonably foreseeable when the contract was made; our total liability will not be less than the fees you paid for the relevant Audit. (e) Clauses 8.3 (expiry of Audit Credits) and 14.2(b) (lapse of credits) do not prevent you from claiming a refund of unused Audit Credits where the law gives you that right. (f) Clause 10.6 (indemnity) does not apply to you. (g) To cancel, email [email protected] with a clear statement of your decision.

17. General

17.1 Changes to these Terms. We may update these Terms from time to time. Each update will carry a new effective date and version number. The version in force when you place an order applies to that order. For Subscriptions, we will give you at least 30 days' notice of material changes by email, and you may cancel before they take effect.

17.2 Assignment. We may transfer our rights and obligations under these Terms to another organisation. You may not transfer yours without our written consent.

17.3 Entire agreement. These Terms (including Schedule 1) and our Privacy Policy are the entire agreement between us regarding the Services. You confirm that you have not relied on any statement not set out in them, though nothing limits liability for fraudulent misrepresentation.

17.4 Third-party rights. No one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

17.5 Severance. If any provision or part-provision of these Terms (including any part of clause 13) is found invalid, illegal or unenforceable, it will be treated as modified to the minimum extent necessary to make it valid, legal and enforceable. If that is not possible, it will be treated as deleted. Any modification or deletion under this clause does not affect the validity and enforceability of the rest of these Terms.

17.6 No waiver. A delay in enforcing any right is not a waiver of that right.

17.7 Notices. We will send notices to the email address on your account. You should send notices to [email protected].

18. Governing law and disputes

18.1 These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, are governed by the law of England and Wales.

18.2 We will try to resolve any complaint informally first — please email [email protected]. If a dispute cannot be resolved, the courts of England and Wales have exclusive jurisdiction (save that, if you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in your local courts).

Schedule 1 — Data Processing Terms (UK GDPR Article 28)

S1.1 Roles. For the purposes of this Schedule, you are the controller and we are your processor of any personal data contained in the data we retrieve from your Connected Accounts and landing page, and in the Reports produced from it (the "Customer Personal Data"). This Schedule does not apply to your account, billing and contact data, for which we are the controller under our Privacy Policy.

S1.2 Details of the processing.

ItemDescription
Subject matterProducing Audits and Reports under these Terms
DurationWhile your account is open, and until deletion under paragraph S1.9
Nature and purposeRetrieving (read-only), storing, analysing (including with AI tools), reviewing and presenting data in Reports
Types of personal dataAny personal data that may appear in Google Ads data (mainly search terms entered by members of the public) or on your landing page; Google Analytics data we receive is aggregated
Categories of data subjectsMembers of the public who search for or interact with your ads, and any individuals named on your landing page

S1.3 Instructions. We will process Customer Personal Data only on your documented instructions, which are these Terms and your use of the Platform (for example, starting an Audit), unless UK law requires otherwise, in which case we will tell you before processing unless the law prohibits this. We will tell you if we believe an instruction infringes Data Protection Law.

S1.4 Confidentiality. We will ensure that anyone we authorise to process Customer Personal Data is bound by a duty of confidentiality.

S1.5 Security. We will implement appropriate technical and organisational measures under Article 32 UK GDPR, including: encryption of data in transit (HTTPS); encryption at rest of Google access and refresh tokens; read-only Google access scopes; access to production data restricted to authorised personnel; and use of reputable hosting providers.

S1.6 Sub-processors. You give us general written authorisation to engage sub-processors. Our current sub-processors are: (a) Abacus.AI, Inc. (United States) — hosting, database, file storage, email delivery and access to AI language models; and (b) OpenAI, L.L.C. (United States) — AI language model processing, accessed through Abacus.AI. The up-to-date list is set out in section 7 of our Privacy Policy. We will give you at least 30 days' notice by email before adding or replacing a sub-processor. If you object on reasonable data protection grounds, you may close your account before the change takes effect and clause 14.2(b) refunds will apply. We will impose data protection obligations on each sub-processor equivalent to those in this Schedule and remain responsible for their performance.

S1.7 Assistance. Taking into account the nature of the processing, we will provide reasonable assistance to help you respond to requests from individuals exercising their rights, and to meet your obligations on security, breach notification, data protection impact assessments and prior consultation with the ICO.

S1.8 Personal data breaches. We will notify you without undue delay, and in any event within 48 hours, after becoming aware of a personal data breach affecting Customer Personal Data, and provide the information you reasonably need to meet your own obligations.

S1.9 Deletion. We revoke and delete Google tokens when you disconnect an account or close your account. When you close your account, we delete Customer Personal Data (including Reports) from our application database without undue delay, except where we must retain it under UK law or to establish, exercise or defend legal claims, in which case we will keep it secure and use it for no other purpose. Residual copies in encrypted backups are overwritten in the normal backup cycle.

S1.10 International transfers. Customer Personal Data is processed in the United States by the sub-processors in paragraph S1.6. We will transfer Customer Personal Data outside the UK only under a safeguard recognised by Data Protection Law, such as the UK Extension to the EU–US Data Privacy Framework, the ICO's International Data Transfer Agreement, or the International Data Transfer Addendum to the EU Standard Contractual Clauses.

S1.11 Information and audit. We will make available the information reasonably necessary to demonstrate our compliance with this Schedule, and allow for audits (including inspections) by you or an auditor you appoint, on at least 30 days' written notice, no more than once in any 12-month period (unless required by the ICO or following a personal data breach), during normal business hours, at your cost and subject to reasonable confidentiality obligations.

S1.12 Your obligations. You confirm that you have a lawful basis for us to process Customer Personal Data on your behalf, and that you have given any notices required by Data Protection Law to the relevant individuals.
